This is HMS EXMOUTH. - Actually it is a replica built around 1903.
The original was commissioned 1855 - a second rate ship of the line with auxiliary screw propulsion. from 1877 she was placed under the control of the Metropolitan Asylums Board as a training ship moored at Grays.
When the old ship rotted out an iron and steel replica was constructed and replaced the original in 1905, when this picture was taken.

The Exmouth became the Thames Nautical Training Ship. HMS.Worcester based at Greenhithe on the Thames. She trained merchant navy officer cadets from 1946 to mid 70's..She was scrapped in Belgium in 1978.
I was a cadet on her 1959-61.

Maybe worth pointing out that when the picture was taken it was not HMS Exmouth, just 'Exmouth'.
In 1939 this vessel was requisitioned by the Admiralty when she was named HMS Worcester and used as an accommodation hulk at Scapa Flow until 1945.

Mad Landsman, nearly but not quite correct. At Grays Essex she was Training Ship Exmouth and was requisitioned by the Admiralty, derigged and towed to Scapa Flow as HMS Exmouth where she was Depot ship to Minesweepers and Submarines. There are quite a few excellent photos of her in that role if you look on the IWM website. In 1945/46 she returned to the Thames, was slightly refitted and became HMS Worcester. Masts and yards were gradually added. Some of the yards came from TS Arethusa when they cut her rigging down. Those yards being returned when Arethusa went to USA after the famous film of her voyage round Cape Horn brought her to prominence. She now resides in Hamburg in all her glory once again named Peking.

Thanks Barnsey, for filling in my sizeable gaps.
My info was piecemeal from various sources and seemed to fit...
